Terms of Service

Agreement
These Terms of Service govern your access to and use of CogniWeave, a product of Human Nexus Pty Ltd (ABN 62 680 664 126). By accessing the service you agree to these terms. If you are using CogniWeave on behalf of an organisation, you represent that you have authority to bind that organisation. CogniWeave is a business-to-business service. It is not intended for personal or consumer use.
The service
CogniWeave provides a vector memory workspace that ingests, indexes, and retrieves content from files and documents you upload. The service includes the web application, the ingestion pipeline, the vector index, and the retrieval and citation layer. We may update or modify the service from time to time. We will give reasonable notice of material changes.
Your data
You retain all rights to the files, documents, and content you upload to your workspace. CogniWeave does not claim ownership of your content. We do not use your workspace content, retrieval queries, or outputs to train any AI model. You may export or delete your workspace content at any time. On termination of your account, we will delete your workspace content within 30 days unless we are required to retain it by law.
Acceptable use
You must use CogniWeave in compliance with our Acceptable Use Policy at cogniweave.ai/aup and all applicable Australian laws, including the Privacy Act 1988 (Cth), the Spam Act 2003 (Cth), and the Australian Consumer Law. You are responsible for ensuring that you have the legal right to upload and process any content you ingest into your workspace.
Accounts and access
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must notify us immediately if you believe your account has been compromised.
Subscriptions and payment
Pricing for paid plans is set out on the pricing page or confirmed in your order. All prices are in Australian dollars and exclusive of GST unless stated otherwise. Subscriptions renew automatically unless cancelled before the renewal date. Refunds are governed by the Australian Consumer Law where applicable.
Availability and support
We aim to maintain high availability but do not guarantee uninterrupted access. We will use reasonable efforts to restore service following an outage. Support is provided by email at humans@humannexus.com.au during Australian business hours.
Limitation of liability
To the extent permitted by the Australian Consumer Law, our liability to you for any claim arising from the service is limited to the amount you paid us in the three months preceding the claim. Nothing in these terms limits liability for death, personal injury, fraud, or consumer guarantees that cannot be excluded under Australian law.
Governing law
These terms are governed by the laws of New South Wales, Australia. Disputes will be resolved in the courts of New South Wales.
Changes to these terms
We will give 30 days notice of material changes to these terms by email. Continued use of the service after the effective date of changes constitutes acceptance.
